Most people know that we have a Board of Directors, but many do not know the responsibility of the Board. To give an idea of the responsibilities of the Board, we have taken Article VIII, Section 6 “Responsibilities of the Board of Directors” from our bylaws and posted it here. Please know that this is an edited version that exists to just get the point across. A lot of the legal language was edited to make it a little easier to read.
The Board of Directors of the Down Syndrome Association of Greater St. Louis (DSAGSL) exists to govern and control the affairs of the DSAGSL. The governance by the Board of Directors will include the following:
a) Developing policies for the effective operation of the DSAGSL.
b) Providing for effective management of the DSAGSL including the election of the Officers of the Board of Directors and DSAGSL, and the appointment or termination of the Executive Director.
c) Monitoring and evaluating the operations of the DSAGSL.
d) Planning and providing for the solvency and financial stability of the DSAGSL.
e) Developing an annual operating budget for the DSAGSL and approving the budget.
f) Ensuring financial and operating reports are prepared.
g) Performing such other functions as may be required of the Board of Directors for the operation of the DSAGSL.
